What is the role of state representatives

The Federal Council appoints state representatives on the Swisscom Board of Directors

The Federal Council

Bern, December 9, 2016 - At its meeting on December 9, 2016, the Federal Councilor appointed Renzo Simoni as the state representative on the Swisscom Board of Directors. At the Annual General Meeting on April 3, 2017, Simoni will succeed Hans Werder, who has been in this position since 2011 and is leaving for reasons of age.

Renzo Simoni (55) holds a doctorate in civil engineering from the ETH and has been chairman of the management board of AlpTransit Gotthard AG, a subsidiary of SBB AG, which was responsible for building the Gotthard base tunnel, since 2007. Due to his professional experience, Renzo Simoni is ideally prepared to bring the interests of the public sector to the Swisscom Board of Directors.

Swisscom is the only federally affiliated company that is listed on the stock exchange. The federal government is legally obliged to hold a majority in Swisscom based on shares and votes. His share in the share capital is currently around 51%. Since Swisscom was founded, the federal government has delegated a state representative to the board of directors. This acts as a link between the Federal Council, which sets the strategic goals for Swisscom, and the company's highest management body. Otherwise, he has the same rights and obligations as the other members of the Board of Directors.

Since 2011, the state representative on the Swisscom Board of Directors has been exercised by the former DETEC Secretary General, Hans Werder. His statutory term of office ends at the 2017 General Assembly. The Federal Council thanks Hans Werder for his services.
